EcoRecycle Terms and Conditions (Seller Agreement)

1. Introduction

Welcome to EcoRecycle Technologies Inc. (“EcoRecycle,” “we,” “our,” or “us”). EcoRecycle operates an online auction platform that connects private vehicle owners (“you” or “Seller”) with verified automotive recyclers and scrap yards (“Recyclers”). By using our website, submitting your vehicle information, or engaging with any EcoRecycle service, you agree to these Terms and Conditions (“Agreement”). If you do not agree, do not use the platform.

2. Nature of Service

2.1 Connecting Platform Only.

• EcoRecycle does not buy vehicles, does not tow vehicles, and does not issue payment for vehicles. We provide a digital platform that collects Seller information,
• distributes that information to verified Recyclers, and
• delivers the highest bid received from those Recyclers back to you.

2.2 No Sale by EcoRecycle. EcoRecycle is not a party to any transaction between you and a Recycler. Your vehicle is sold directly to the Recycler, not to EcoRecycle.

2.3 Curation of Recyclers. EcoRecycle reviews and works only with verified, reputable Recyclers, but we cannot guarantee the performance, punctuality, or conduct of any third-party Recycler.

3. Seller Responsibilities

• 3.1 Accurate Information. You agree to provide truthful, complete, and accurate information about your vehicle, ownership, and condition. Any incorrect or misleading information may result in cancellation or change of the offer amount.
• 3.2 Ownership and Authority. You represent that you are the rightful owner of the vehicle, or are authorized to sell it, and that it is free of undisclosed liens or legal holds.
• 3.3 Vehicle Readiness. You agree to make the vehicle reasonably accessible for pickup at the scheduled time and to have all necessary documents available, including registration and valid ID.
• 3.4 Communication. You agree to respond to communications from EcoRecycle or the assigned Recycler to ensure a smooth pickup process.

4. Offers and Bids

• 4.1 Bidding Process. EcoRecycle’s system distributes your vehicle details to participating Recyclers, who place competing bids. The highest bid is then presented to you for acceptance.
• 4.2 Offer Validity. Offers are valid only for a limited time (as shown in your message or on the offer screen). Market conditions and Recycler availability can change.
• 4.3 Acceptance. Once you accept an offer, you are entering into an agreement directly with the Recycler, not EcoRecycle. All subsequent scheduling, towing, and payment are handled by that Recycler.

5. Pickup and Payment

• 5.1 Third-Party Responsibility. The assigned Recycler or its towing partner is solely responsible for scheduling and performing the pickup, confirming vehicle condition, and issuing payment (cash or e-transfer) to you at pickup.
• 5.2 EcoRecycle’s Role. EcoRecycle facilitates communication and scheduling through its platform but is not responsible for missed or delayed pickups, payment issues between you and a Recycler, or any damage, loss, or incident occurring during pickup.
• 5.3 Issues or Complaints. If a Recycler fails to show up, you may report the incident to EcoRecycle. We may assist in reassigning your vehicle to another Recycler at our discretion.

6. Data and Privacy

• 6.1 Information Use. By submitting your vehicle details, you authorize EcoRecycle to share your information (including contact information and vehicle details) with participating Recyclers for the purpose of generating bids and coordinating pickup.
• 6.2 Data Security. EcoRecycle implements reasonable safeguards to protect your data. However, you acknowledge that no data transmission is fully secure, and you share information at your own risk.
• 6.3 Privacy Policy. All personal information is processed in accordance with our Privacy Policy View Privacy Policy.

7. No Guarantees or Warranties

• 7.1 No Guarantee of Sale. EcoRecycle cannot guarantee that any specific bid will be received, that a Recycler will proceed with pickup, or that the transaction will complete.
• 7.2 Platform Availability. EcoRecycle strives to maintain reliable service but does not warrant uninterrupted or error-free operation.
• 7.3 Disclaimer. All services are provided “as is” without warranties of any kind, express or implied.

8. Limitation of Liability

• - EcoRecycle is not liable for any indirect, incidental, or consequential damages, including lost profits, delays, or failed pickups.
• - EcoRecycle’s total liability for any claim shall not exceed $100 USD or the total fees paid (if any) by you to EcoRecycle, whichever is greater.
• - You agree to hold EcoRecycle harmless from all claims arising from your sale, your vehicle, or your interactions with Recyclers.

9. Indemnification

• You agree to indemnify, defend, and hold harmless EcoRecycle, its officers, employees, agents, and affiliates from any claims, damages, or expenses arising out of: (a) your breach of this Agreement, (b) inaccuracies in the information you provided, or (c) disputes with Recyclers or third parties.

10. Termination

EcoRecycle may suspend or terminate your access to the platform at any time, with or without cause, and without prior notice.

11. Governing Law

This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute shall be resolved in the courts located in Delaware. If you are located in Canada, you also agree that EcoRecycle operates as a U.S.-based digital service and that your relationship with Recyclers is governed by Canadian provincial law between you and that Recycler.

12. Updates to These Terms

EcoRecycle may update these Terms at any time. The latest version will always be posted on our website, and your continued use of the platform signifies your acceptance of any updates.

13. SMS and Text Message Communications

By providing your phone number and opting in, you consent to receive recurring automated text messages from EcoRecycle Technologies Inc., including offers, pickup updates, and promotional messages. Consent is not a condition of any purchase or service. Message frequency may vary. Message and data rates may apply. You may opt out at any time by replying STOP to any message. After opting out, you will receive one final confirmation message. Reply HELP for assistance or contact us at support@eco-recycle.ca. EcoRecycle does not sell or share your phone number with third parties for their own marketing purposes. Carriers are not liable for delayed or undelivered messages.
